Partner Agreement
This agreement outlines the terms under which Clozet works with individuals and businesses to sell fashion items through our platform.
1. About this agreement
This Partner Agreement (“Agreement”) is between Clozet, a fashion retail brand operated by KabaleOnline (“we”, “us”, “our”), and the individual or business supplying items for sale (“Partner”, “you”).
2. Partnership model
Clozet operates a curated selling model. Partners do not upload products directly. Clozet is responsible for reviewing, pricing, listing, marketing, and managing customer communication for all approved items.
3. Item acceptance & quality
- Only clean, authentic, and good-quality fashion items are accepted.
- Fake, damaged, illegal, or misrepresented items are strictly prohibited.
- Clozet reserves the right to reject or remove any item that does not meet quality or brand standards at any time.
4. Pricing & listing approval
All prices are agreed between Clozet and the Partner before listing. Once listed, prices may not be changed unless both parties agree. Clozet may recommend pricing adjustments based on market demand.
5. Commission & earnings
Clozet earns a commission on each successfully completed sale. Commission rates depend on item category and supply volume.
- Clothing (tops, dresses, jeans): 30%
- Shoes & bags: 25% – 30%
- Watches & accessories: 20% – 25%
Reduced commission rates may apply for partners supplying higher volumes.
6. Payments & payouts
- Partners are paid only after an item is successfully sold and delivered.
- Payments are made via Mobile Money to details provided by the Partner.
- Payouts are typically made within 24–72 hours after sale completion.
7. Unsold items
- Unsold items may be withdrawn after 30–45 days.
- High-value items may remain listed for up to 60 days.
- Partners are responsible for collecting withdrawn items within an agreed timeframe.
8. Returns, cancellations & disputes
If a customer returns an item due to quality, authenticity, or misrepresentation, Clozet reserves the right to cancel the sale. Cancelled sales are not payable. Clozet’s decision on such matters is final.
9. Partner responsibilities
- Provide accurate and truthful information about items.
- Ensure all items are legally owned and authentic.
- Deliver items to Clozet or an agreed handover location when required.
10. Clozet responsibilities
- List, promote, and market approved items.
- Manage customer inquiries and delivery coordination.
- Pay partners according to agreed terms.
11. Limitation of liability
Clozet is not responsible for losses caused by market demand, pricing decisions, delayed sales, or circumstances beyond reasonable control. Clozet does not guarantee sales.
12. Termination
Either party may terminate this partnership at any time. Any completed sales will be settled according to this Agreement.
13. Governing law
This Agreement is governed by the laws of the Republic of Uganda.
14. Acceptance
By submitting items to Clozet or engaging in partnership discussions, you confirm that you have read, understood, and agreed to these terms.
